Agreement to Terms
These Terms and Conditions constitute a legally binding agreement between you and MUELLER DESIGN, INC (“Company,” “we,” “us,” or “our”) concerning your access to and use of our website and design services. By engaging our services or accessing our website, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our services.
Services
MUELLER DESIGN, INC provides professional graphic design services including but not limited to:
- Brand identity design and development
- Logo design
- Print design (brochures, business cards, marketing materials)
- Digital design (web graphics, social media assets)
- Packaging design
- Illustration and custom artwork
Project Agreements
All design projects require a written agreement (proposal or contract) that outlines:
- Scope of work and deliverables
- Timeline and milestones
- Pricing and payment terms
- Number of revision rounds included
- Ownership and usage rights
Work will not commence until the project agreement is signed and any required deposit payment is received.
Payment Terms
- A deposit (typically 50%) is required before work begins
- Final payment is due upon project completion, before final files are delivered
- Additional revisions beyond the agreed scope will be billed at our hourly rate
- Invoices are due within 14 days of receipt unless otherwise agreed
- Late payments may incur interest charges of 1.5% per month
Intellectual Property
Ownership Transfer
Upon full payment, you will own the final approved design files for the specific use outlined in the project agreement. We retain ownership of preliminary concepts, sketches, and rejected designs.
Portfolio Rights
We reserve the right to display completed work in our portfolio, website, and marketing materials unless otherwise agreed in writing.
Client Responsibilities
As our client, you agree to:
- Provide all necessary content, materials, and feedback in a timely manner
- Ensure you have the rights to use any materials you provide to us
- Review deliverables and provide feedback within agreed timeframes
- Make payments according to the agreed schedule
- Designate a single point of contact for project communication
Revisions
Each project includes a specified number of revision rounds as outlined in your project agreement. Revisions include:
- Minor adjustments to colors, fonts, spacing, or layout
- Text changes or content updates
- Refinements to the approved design direction
Major changes to the project scope, concept changes after approval, or additional revision rounds will be quoted separately.
Cancellation
Either party may terminate a project with written notice. If you cancel a project:
- Any deposit paid is non-refundable
- You will be invoiced for all work completed up to the cancellation date
- No ownership of work-in-progress transfers unless full payment is made
Limitation of Liability
MUELLER DESIGN, INC's liability is limited to the amount paid for services. We are not liable for any indirect, incidental, special, or consequential damages arising from the use of our services or designs. We do not guarantee specific business results from our design work.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts of Lorain County, Ohio.
